GOVERNANCE MATTERS
Don't conceal. Reveal!
Bangerter v. Hat Island Community Association went all the way to the WA Supreme Court. The results are a reaffirmation of the principles of duty of care.
Electronic Ballots are Great, but they must Conform to the Bylaws
In Guiterrez vs. Board of Managers, an electronic balloting system was found to have violated the Bylaws because directed proxies were non-revocable.
Many CICs have proxy requirements built into their governing documents (typically located in the bylaws). View these example bylaws to learn more.
Waiver of Liability is Limited
Given specific circumstances where an association fails in its duty to maintain a component, a waiver of liability may not provide a comprehensive shield from all claims.
