We have monthly workshops to address specific projects and issues
Open meeting rules during zoom meetings slow down productivity and usually complicates efficiency. Remote meetings promote “showboating” and electioneering which become distractions.
We are still under declarant control, so elected owner board members can still meet because with only 4 of us on the 9 member board, we don’t have a quorum. We can get a lot done in between our formal board meetings.
Special meetings are usually held to facilitate executive sessions for contracts, personnel and appeals
3rd meeting is combination of annual meeting and required yearly meeting
No meetings so far in 2021
Our executive meeting which is held once a month has been a closed meeting however a recent change in DE state law now requires that the executive meeting be open.
Special meetings are usually held to facilitate executive sessions to meet with legal counsel and other matters
re: accomplishing work between meetings -- nothing seems to work particularly well in the absence of more engaged directors. Many topics are far too complex for email threads. Combine that with a lacking desire to dedicate meeting time to create solutions and you have a big challenge.
Personnel issues have required more executive session meetings than any of us would prefer.
CA Association: We email everything to CAM and direct all responses to CAM. CAM moderates any discussion. No decisions except at Meetings.
In my opinion our Board makes up its plan as it goes and does what suits the Board. The results show the lack of sound leadership. The Board tightly controls any and all communication.
Board Members refuse to post their names; board position; contact information to HOA members either by mail or post openly at Clubhouse
Meetings skip August and September
I am very frustrated as a board member and a resident that nothing seems to get done. We have no protocol for putting owners' concerns in our minutes or discussions. I understand that we need to operate under Davis-Stirling but it is extremely restrictive.
We just implemented a one call via text or email!
Our Board does not have a meeting schedule
Our CAM handles additional meetings with contractors and vendors, legal and other third-parties on behalf of the Board.
We have a scheduled agenda meeting 7 to 10 days before our Board meetings to work out issues and review things before the monthly Board meetings. Some urgent items can be decided at the agenda meeting if waiting for the Board meeting delays scheduling some work to be done, but only if all (5) directors are unanimous in approving. If not, then the decision waits until a majority of the Directors can act at the Board meeting. Any unanimous decisions are merely announced and read into the Board meeting Minutes. The Agenda meeting is NOTICED as are our Board meetings as the last order of business at the preceding month's Board meeting; The notice is provided in both the unofficial Minutes and the monthly newsletter that goes to all owners about three weeks before the next Board Meeting. Each of our 7 buildings has one or two representatives who are invited to attend, but in practice only the Board members usually attend (virtually lately, as it is easier for us). We (the elected Directors) are fortunate in Wisconsin to be able to make many decisions as the elected Directors of the association without requiring formal approval by owners; if owners do not like what we do, they can vote to have other owners as Directors each December. Of course, we cannot change our Declaration or By-laws without owner approval. But we do control Rules and Regulations and set the Budget as we see fit as the Directors elected to act on behalf of the entire group of owners.
Projects are often managed by 2 board members together depending on specific skill sets of our board members. Typical example wb hiring painting contractor, landscape contractor etc. or dealing with the county on a specific issue. Soliciting bids for larger value projects definitely always involves 2 board members.
Our community is very unhappy with the existing board and doesn't have any idea about how to deal with it. No one would even to volunteer to run for election to fill one empty seat for the coming year.Comments were: Don't want to join the existing board, etc. Anytime they can decide to make a new rule.
